The new Supervisory Board reinforces Sygnity
On 14 June the General Meeting of shareholders of Sygnity S.A. elected new members of the Supervisory Board of the Company. One of them is Tomasz Sielicki, one of founders of ComputerLand, former President of the Sygnity Group. Thanks to these changes the Supervisory Board strengthened its shareholders representation – apart from Tomasz Sielicki, the representatives of BBI Capital (one of the main shareholders of Sygnity) and representatives of the Investment Funds are Members of the Supervisory Board. Similar management mechanisms are successfully used in many international companies. The new Supervisory Board will have to consolidate the Company through closer collaboration with the Management Board in regard to strategic decisions on Sygnity’s future.
Together with Paweł Turno and Przemysław Schmidt, appointed to the Supervisory Board already in 2006, the Shareholders elected Jacek Ksień, Przemysław Cieszyński and Krzysztof Ogonowski. Former composition of the Supervisory Board is also represented by Szczepan Strublewski.
Tomasz Sielicki’s passing to the Supervisory Board is a natural result of changes happening in Sygnity Group in the recent years. Since 2002 Tomasz Sielicki was responsible mainly for Comapny’s development strategy, international partnerships, acquisitions, and new business models of the then ComputerLand. He was not much involved in the every-day Company managing. He was also President of the Management Board till 2005. He is one of designers of merger of Sygnity and Emax, done in May 2007. In result of this merger the second IT company in Poland was created. The Supervisory Board of Sygnity Group, thanks to the presence of Tomasz Sielickieg and with earlier participation of BBI Capital S.A. representatives, strengthened its shareholders representation. Such a model of the Supervisory Board guarantees increased interest of its members in key Company development questions.
Thanks to the merger of Sygnity and Emax we have many good managers. I am sure that they will lead the Company into further success. My entrance into the Board does not mean early retiring. I came here to support this body as the Sygnity Supervisory Board but also as the one that is actively supporting Management Board of the Company. I am sure that we will reinforce Sygnity together with other new Members of the Board” – said Tomasz Sielicki after the General Meeting.
The President of the Board will be appointed during the first Supervisory Board’s meeting.
Przemysław Cieszyński graduated in 1989 from Wrocław Technical University, IT and Management Faculty, Information Systems and Vanderbilt University, Nashville, TN (USA), where received Master of Business Administration degree (1997) in Marketing. Fulbright Foundation scholarship-holder. In 1990 – 1993: IT Office Consultant of the Office of Council of Ministers. Between 1994 and 1998 he was IT Manager and Project Leader in Tricon Restaurants International (till 11/1997 PepisCo) in Warsaw. From 1998 to 2003 he worked as Manager and Senior Manager in Accenture (till 12/2000 Andersen Consulting). Between 2003 and 2004 he was Executive Director in CII Group (from 09/2005 Kolaja & Partners), and from 2004 to 2005 Member of the Management Board of PolCard SA and Banking Services Department Director. In 2005 worked Resctructuring Office Director in Polish Television. From December 2005 he is an owner of Raitaro Company operating in management consulting sector. Between March 2006 and June 2007 he was President and Vice-president of the Supervisory Board of WSiP SA.

Jacek Kseń, President of the Management Board of Bank Zachodni WBK SA – one of the most respected and charismatic executives in banking sector in Poland. A graduate of Poznań School of Economics and Szkoła Główna Planowania i Statystyki (Higher School of Planning and Statistics) where he received his Ph.D. for thesis on international financial markets in 1977. Majority of his career Jacek Kseń spent in banks, particularly in France. His career in Bank Handlowy was continued in bank Polska Kasa Opieki and Lyonaisse de Banque in Paris. He was top executive in Caisse Nationale Credit Agricole and was the President of the Management Board of Wielkopolski Bank Kredytowy, and after the merger with Bank Zachodni – President of the Management Board of Bank Zachodni WBK SA. The new President of the Supervisory Board of Sygnity is a member of Supervisory Boards of BZ WBK, AIB Towarzystwo Funduszy Inwestycyjnych SA, AIB Asset Management, and PBG SA.
Grzegorz Ogonowski is economist, graduate of Economic University in Kraków. He became a financial broker right after his studies and since 1999 has been working in ComArch as Financial Sector Director. He ran his own business in commercial advisory (MGC Doradztwo Gospodarcze), he was co-founder and vice-president of construction company MDM spółka z o.o. in Cieszyn. Since 2003 Grzegorz Ogonowski he has been an independent Member of the Supervisory Board of Emax. Currently he is an independent Member of the Supervisory Board of Ceramika-Nowa Gala S.A. Końskie.
Przemysław Schmidt, Managing Partner in Trigon is an investment banking specialist and legal advisor. Graduate of Adam Mickiewicz University in Poznań, Georgetown University, Leiden University, TMC Asser Institute in Hague, scholarship-holder of the University of California. In Trigon has conducted since 1990 numerous capital transactions, inter alia set of privatisations of cement sector (Warta, Odra, Górażdże, Strzelce Opolskie), Dębica, Eurocash (Jeronimo Martins), Saint Gobain (Kunice Glassworks ) and introduced the first American company – IVAX into the Warsaw Stock Exchange. He was the President of the Management Board of Publishing Company TWÓJ STYL, Senior Vice President in the first Polish company traded on NASDAQ, @Entertainment Inc. and the President of Wizja TV. At the moment he is a Member of the Supervisory Board of Amrest N.V., Vice-president of the Supervisory Board of United Way Poland (Fundacja Wspólna Droga) and Vice Chairman of European Board – Young Presidents’ Organization.
Tomasz Sielicki, since 2005 President of the Sygnity Group, he has been working in Sygnity S.A. (formerly ComputerLand S.A.) since its creation in 1991. He was President of the Management Board from 19 August 1992 until June 2005. Tomasz Sielicki is treated as the father of Company’s success. Tomasz Sielicki is a member of Management Board of Polish Business Council, Centre for Strategic & International Studies, and the Main Council of the Polish Confederation of Private Employers LEWIATAN. He is also a member of supervisory boards of several comapnies: Agora SA, Budimex SA., ARAM Sp. z o. o. He is a President of the Supervisory Board of the Main Council of the Polish Confederation of Private Employers in IT and Telecommunication. Represents Sygnity (formerly ComputerLand) in American Chamber of Commerce and on World Economic Forum. In 2005 Tomasz Sielicki as the only Pole was awarded together with 25 personalities with rank “Stars of Europe 2005” of European edition of prestigious BusinessWeek magazine. Ranking “Stars of Europe” presented 25 persons from politics, business and fashion, who are “change leaders in united Europe”. In April 2006 was awarded with prestigious prize of Polish IT sector given by Polish Chamber of IT and Telecommunications. This prize is given to the persons, who particularly contributed to development of IT and telecommunication market.

Szczepan Strublewski has been a Member of the Supervisory Board of Sygnity S.A. since 2004. He is 41 old and is economist (studied inter alia in the University of Kent w Canterbury, where graduated with University Diploma from Economics Analysis). In 1990s Szczepan Strublewski worked in consulting (Arthur Andersen and other companies). Cooperated with Paris branch of Bain et Compagnie by restructuring and privatisation of Polish Telecommunication equipment producer sector. Between 1993 and 1996, he worked in SBC Warburg in Financial Consulting Department and further in SBC Warburg in European Companies Analysis Department in London (1996-1997), where he was responsible for the analysis of companies listed on the Polish market. In the years 1997-1998, he was employed in ING Barings in Warsaw, where he was a Vice Director of the Capital Markets Department and Mergers and Acquisitions Department Do 2002 r. From 1998 to 2002, he worked as a Vice Director in Dresdner Kleinwort Wasserstein. In the years 2003 – 2005, he worked as an independent consultant in M&A finance sourcing transactions. From January 2006, he is the President of the Board of Directors of ABN AMRO Corporate Finance (Polska) Spólka z o.o.. At the moment he is a Member of the Supervisory Board of Grupa Kęty S.A.

Paweł Turno is a graduate of the Poznań University of Economics and Adam Mickiewicz University in Poznań, where he studied at the Institute of Sociology and also worked for two years as a member of the teaching staff. He was one of the founders of Emax Sp. z o.o. and in 1989-1997 President of its Management Board. In 1989-1992 he founded and acted as CEO for AMS S.A At the moment Paweł Turno is a President of the Management Board of BB Investment Sp. z o.o., President of the Management Board of BBI Capital S.A. (formerly BBI Capital Sp. Z o.o.), Member of the Supervisory Boards of Zeneris S.A., Tell S.A., BMT S.A., Kino Polska TV Sp. z o.o., Public Profits Sp. z o.o., Invento Sp. z o.o, Videomat Sp. z o.o., and Raido Media Sp. z o.o.
